Registration is the step that turns a hustle into a business that can sign a lease, open a bank account in its own name and bid for a supply contract. The Uganda Registration Services Bureau (URSB) lists exactly those benefits: legal identity, protection of your trade name, access to loans, tenders and financing, and eligibility for investment, trading and taxation licences. This post walks through the two common routes, what they cost on URSB's published fee schedule, and what to set up in the week after the certificate arrives.
Business name or company
A business name registers a trading name for a sole trader or a partnership. It is cheap and quick, and the owner remains personally liable for the business's debts. A private company limited by shares is a separate legal person: it can own property, enter contracts and survive a change of owners, and the shareholders' liability is limited to their shares. Most shops begin as a business name; most that take on investors, a bank loan or a second branch end up as a company.
The choice affects the paperwork for years. A company files annual returns and keeps a register of directors and shareholders; a business name does not. If you expect to borrow or bring in a partner within two years, register the company now and avoid converting later.
What URSB charges
URSB publishes its business, company and document registration fees. The figures that matter for a new business are:
- Name reservation: UGX 35,000, whether for a business name, a partnership or a company.
- Registration of a business name: UGX 55,000. Registration of a partnership is also UGX 55,000.
- Company registration, share capital up to UGX 5,000,000: UGX 105,000.
- Company registration, share capital above UGX 5,000,000: "1.5% of nominal share capital".
- Company without share capital (limited by guarantee): UGX 105,000.
- Certified copies of the certificate or statement of particulars: UGX 35,000 each.
So a sole trader pays UGX 90,000 in URSB fees to reserve and register a name, and a small company with UGX 5,000,000 share capital pays UGX 140,000 before stamp duty and any professional help. Set share capital with the 1.5 per cent rule in mind: a nominal UGX 50,000,000 costs UGX 750,000 to register, and raising capital later costs 1.5 per cent of the increase.
The online process
Registration starts on URSB's online registry, linked from the business registration page. The sequence is the same for both routes: reserve a name, pay the reservation fee, then complete the registration with the particulars of the owners or directors and the registered address. URSB notes that documents submitted for registration should be "duly witnessed" where that applies, and it provides downloadable forms and explainer videos for the online system.
Have ready: the national IDs of every owner or director, a physical address and a postal address, the nature of business, and for a company the share capital and how it is divided. The name search is worth doing carefully; a name that is too close to an existing one is the usual reason an application stalls.
The first week after the certificate
The certificate is the beginning of the compliance calendar, not the end of it.
- Tax registration. Register the business for a Tax Identification Number with URA. The return deadlines then run from your first period: URA states that monthly returns such as VAT, PAYE and withholding tax fall due on "the 15th day of the month following the return period", and the annual income tax return "within six (6) months from the end of the financial period".
- Trading licence. In Kampala, KCCA requires a licence for "any person carrying out business in KCCA's jurisdiction" except those exempted, and asks a new business for the "original certificate of incorporation" and the "original rent receipt and tenancy agreement from the land lord". The licence runs by calendar year.
- Bank or mobile money merchant account in the business's name, so that takings never mix with personal money.
- Books from day one. Open a ledger before the first sale. The cheapest audit is the one you never need because the records were right from the start.
- Trademark, if the name is the brand. Business name registration protects the name in the register; a trademark protects it in the market.
